Terms of use and Service Agreement

1. Acceptance of Agreement
This Terms of Use and Service Agreement (“Agreement”) governs access to and use of the Arc Reviewers website, services, products, and review campaign platform (collectively, the “Service”).
By registering an account, purchasing a review campaign, accessing the Service, or otherwise using the Service, you agree to be bound by this Agreement.
If you do not agree to these terms, you must not access or use the Service.
For purposes of this Agreement, “Author” includes any author, publisher, rights holder, agent, representative, or other individual or entity purchasing or using services through Arc Reviewers.
2. Eligibility and Author Accounts
Users must provide complete, accurate, and current information during registration and throughout their use of the Service.
Each user may maintain only one account. Arc Reviewers reserves the right to suspend, merge, restrict, or terminate duplicate accounts at its sole discretion.
Users are responsible for maintaining the confidentiality of their login credentials and for all activities occurring under their account.
3. Services Provided
Arc Reviewers provides a review campaign platform through which Authors may purchase review campaigns for eligible books.
Review campaigns consist of:
- A campaign setup fee;
- A selected number of reviews; and
- A bid amount associated with each review.
Arc Reviewers operates review campaigns until the purchased review quantity has been fulfilled, subject to the provisions of this Agreement.
Arc Reviewers does not guarantee:
- Positive reviews;
- Specific review ratings;
- Increased sales;
- Improved rankings;
- Increased visibility;
- Commercial success; or
- Any particular business outcome.
Arc Reviewers guarantees only that it will operate eligible campaigns in accordance with this Agreement.
4. Campaign Purchases and Payment
All campaign purchases must be paid in full before a campaign is considered complete or eligible for activation.
Payment processing is provided through Square and is subject to Square’s applicable terms, policies, and procedures.
All pricing is stated in Canadian Dollars (CAD) unless otherwise indicated.
Arc Reviewers reserves the right to modify pricing, packages, review quantities, service offerings, and campaign structures at any time for future purchases.
5. Campaign Submission Requirements
Authors are required to provide:
- An EPUB file;
- Book cover artwork;
- Book title;
- Book description or blurb;
- Author name;
- Genre information; and
- Any additional information reasonably requested by Arc Reviewers.
Campaign information becomes locked upon submission.
Modifications are not guaranteed after submission. Authors wishing to promote a revised version of a work may be required to purchase a new campaign.
If submitted files are corrupted, incomplete, unreadable, or otherwise unsuitable for distribution, the Author shall be responsible for providing corrected files.
6. Goodreads Requirement
Books must maintain an active listing on Goodreads before a campaign may be launched.
Arc Reviewers reserves the right to delay activation until Goodreads listing verification has been completed and staff approval has been granted.
7. Author Warranties and Responsibilities
By submitting a campaign, the Author represents and warrants that:
- They own or control all rights necessary to distribute the submitted work;
- They possess all permissions necessary for submitted content;
- The submitted content does not infringe the rights of any third party;
- All information supplied is accurate and complete; and
- Their use of the Service complies with applicable laws.
The Author remains solely responsible for all content submitted to Arc Reviewers.
8. Prohibited Content
Arc Reviewers may reject, remove, suspend, or terminate campaigns involving content that includes or promotes:
- Pornographic material;
- Hate speech;
- Illegal content;
- Plagiarized content;
- Copyright infringement;
- Fraudulent materials; or
- Any content deemed unsuitable by Arc Reviewers.
Arc Reviewers reserves the right to reject any submission at its sole discretion.
9. Review Process
Reviewers are expected to complete the book before submitting a review.
Reviews may be submitted through:
- Goodreads reviews containing both a star rating and written review; or
- A qualifying written review of at least six hundred (600) words submitted through the reviewer platform.
Reviewers are expected to provide honest and independent opinions.
Arc Reviewers does not direct, coach, edit, rewrite, influence, or manipulate reviewer opinions.
Reviewers may assign any rating they believe accurately reflects their assessment of the work.
10. Review Quality Standards
Arc Reviewers may reject reviews that fail to satisfy quality requirements.
Reasons for rejection may include, but are not limited to:
- Evidence indicating the reviewer did not read the book;
- Invalid or non-substantive reviews;
- Excessively repetitive content;
- Low-quality review content;
- AI-generated review content;
- Violations of reviewer policies; or
- Other conduct that undermines review integrity.
Rejected reviews do not count toward campaign fulfillment and may be reassigned to another reviewer.
11. Review Disputes
Goodreads reviews remain the responsibility of the reviewer and Goodreads.
Authors may challenge the validity of a review by submitting supporting evidence to Arc Reviewers.
Arc Reviewers shall have sole discretion in determining whether a review satisfies platform requirements.
Arc Reviewers’ determination shall be final.
12. Campaign Duration and Completion
Campaigns do not have guaranteed completion dates.
Campaign completion depends upon reviewer participation and availability.
Campaigns remain active until all purchased review positions have been fulfilled unless otherwise terminated pursuant to this Agreement.
Reviewers are generally provided seven (7) days to complete a claimed book and submit a qualifying review.
13. No Guarantee of Reader Participation or Timing
Arc Reviewers does not guarantee that any specific number of reviewers will claim a campaign within any particular timeframe.
Campaign completion times may vary based on reviewer availability, participation levels, technical factors, operational considerations, and other circumstances.
14. Refunds and Cancellation
Campaign purchases are generally non-refundable once a campaign has been launched.
Arc Reviewers may provide:
- Full refunds for campaigns cancelled prior to publication; or
- Partial refunds where a campaign has already been made available to reviewers.
Refund decisions shall be determined by Arc Reviewers based upon the circumstances of each matter.
Authors may not voluntarily cancel active campaigns solely because they no longer wish to participate.
Dissatisfaction with review ratings, opinions, or review outcomes does not qualify for a refund.
15. Chargebacks and Payment Disputes
If a user initiates a chargeback, payment dispute, or unauthorized transaction claim after services have been provided or a campaign has been launched, Arc Reviewers may:
- Suspend or terminate the account;
- Terminate active campaigns;
- Restrict future purchases; and
- Pursue recovery of unpaid amounts through lawful means.
Fraudulent payments may result in immediate suspension or termination of services.
16. Intellectual Property Ownership
Authors retain all ownership rights in submitted books, cover artwork, descriptions, and related materials.
Nothing in this Agreement transfers ownership of the Author’s intellectual property to Arc Reviewers.
17. Limited License Granted to Arc Reviewers
The Author grants Arc Reviewers a limited, non-exclusive license to:
- Store submitted materials;
- Display book covers and descriptions;
- Operate review campaigns;
- Distribute review copies to reviewers;
- Process campaign submissions; and
- Perform services necessary to fulfill campaign obligations.
This license remains in effect for the duration of the campaign and any reasonable record-retention period thereafter.
18. Review Copy Security Measures
To protect copyrighted works and discourage unauthorized distribution, Arc Reviewers may apply security, personalization, identification, watermarking, tracking, or similar measures to distributed review copies.
Such measures may include the insertion of identifying information, account-related information, tracking information, notices, or other security-related content.
By submitting content to Arc Reviewers, the Author expressly authorizes Arc Reviewers to make such modifications for security, anti-piracy, administrative, and operational purposes.
19. Marketing and Promotional Rights
The Author grants Arc Reviewers permission to use:
- Book titles;
- Cover artwork;
- Descriptions and blurbs;
- Review excerpts;
- Author names;
- Publisher names; and
- Campaign information
for marketing, promotional, portfolio, testimonial, business development, and related purposes.
20. User Conduct
Users shall not:
- Submit false information;
- Commit fraud;
- Engage in harassment or abusive conduct;
- Attempt to manipulate review outcomes;
- Violate intellectual property rights;
- Interfere with platform operations; or
- Violate applicable laws.
21. Suspension, Termination, and Refusal of Service
Arc Reviewers may suspend, restrict, terminate, or refuse service at any time and for any lawful reason.
Grounds may include:
- Fraud;
- Chargebacks;
- Harassment;
- Copyright violations;
- False information;
- Attempts to manipulate reviews; and
- Violations of this Agreement.
Refund eligibility following suspension or termination shall be determined by Arc Reviewers in its sole discretion, subject to applicable law.
22. Privacy and Data Collection
Arc Reviewers may collect information including:
- Name;
- Email address;
- Mailing address;
- Campaign information;
- Uploaded files;
- IP addresses;
- Login records;
- Security records;
- Technical information;
- Server logs; and
- Other information reasonably necessary to operate the Service.
Payment card information is not stored by Arc Reviewers and is handled by Square.
23. Data Retention
Arc Reviewers may retain records, communications, transaction histories, campaign records, technical logs, security records, and related information for a minimum of seven (7) years or longer where required by law or legitimate business necessity.
Users may request account closure; however, Arc Reviewers may retain information necessary for:
- Tax compliance;
- Accounting requirements;
- Fraud prevention;
- Security investigations;
- Legal obligations;
- Contract enforcement; and
- Dispute resolution.
24. Cookies and Analytics
Arc Reviewers utilizes cookies and similar technologies, including standard WordPress cookies, for:
- Authentication;
- Session management;
- Security;
- Fraud prevention;
- User preferences;
- Performance monitoring; and
- Analytics.
Disabling cookies may impair website functionality.
25. Disclosure of Information
Arc Reviewers does not sell customer information.
Information may be disclosed:
- To Square for payment processing;
- To legal authorities where required by law;
- In response to court orders, warrants, subpoenas, or similar lawful requests; or
- As otherwise permitted by applicable law.
26. Goodreads and Third-Party Services
Goodreads and other third-party services operate independently from Arc Reviewers.
Arc Reviewers is not responsible for:
- Goodreads policies;
- Goodreads review removals;
- Goodreads account suspensions;
- Goodreads service interruptions;
- Goodreads policy changes; or
- Actions taken by third-party platforms.
27. Copyright Complaints
Upon receipt of a copyright infringement complaint, Arc Reviewers may suspend the affected campaign while conducting an investigation.
Claimants may be requested to provide supporting evidence.
If infringement is substantiated, Arc Reviewers may terminate the campaign without refund and take any additional action deemed appropriate.
28. Reviewer Misconduct
Reviewers found distributing copyrighted works without authorization may be permanently removed from the reviewer platform.
Arc Reviewers is not responsible for initiating civil or criminal proceedings concerning unauthorized distribution.
Arc Reviewers may cooperate with lawful investigations and legal requests where required by law.
29. Limitation of Liability
To the fullest extent permitted by law, Arc Reviewers shall not be liable for:
- Lost profits;
- Lost revenue;
- Lost business opportunities;
- Lost sales;
- Reputational harm;
- Goodreads actions;
- Negative reviews;
- Third-party conduct;
- Service interruptions; or
- Indirect, incidental, consequential, special, or punitive damages.
The Service is provided on an “as-is” and “as-available” basis.
30. Force Majeure
Arc Reviewers shall not be liable for delays, interruptions, failures, or inability to perform resulting from causes beyond its reasonable control, including:
- Natural disasters;
- Fire;
- Flood;
- Severe weather;
- Pandemic events;
- Government actions;
- Labour disruptions;
- Internet outages;
- Utility failures;
- Hosting failures;
- Cybersecurity incidents;
- Hardware failures;
- Software failures; or
- Similar events beyond reasonable control.
31. No Agency Relationship
Nothing in this Agreement creates a partnership, joint venture, employment relationship, agency relationship, publishing relationship, or representation relationship between Arc Reviewers and any user.
32. Electronic Acceptance
Acceptance of this Agreement through electronic means, including registration, account creation, campaign purchase, or acceptance checkboxes, constitutes a legally binding agreement.
33. Modifications to Services
Arc Reviewers reserves the right to modify, suspend, discontinue, expand, restrict, or alter any aspect of the Service at any time.
34. Modifications to Agreement
Arc Reviewers may revise this Agreement at any time.
Updated versions shall be posted on the website with an updated revision date.
Continued use of the Service constitutes acceptance of revised terms.
Users who do not agree with revisions must discontinue use of the Service.
35. Severability
If any provision of this Agreement is determined to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.
36. Assignment
Arc Reviewers may assign, transfer, sell, or otherwise convey its rights and obligations under this Agreement without restriction.
Users may not assign their rights or obligations without prior written consent.
37. Entire Agreement
This Agreement, together with any applicable Privacy Policy and other policies published by Arc Reviewers, constitutes the entire agreement between the parties and supersedes prior understandings relating to the Service.
38. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the applicable federal laws of Canada.
Any dispute arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
Where permitted by law, proceedings shall be commenced and maintained within York Region, Ontario.
